These Terms and Conditions ("Terms", "Agreement") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you", "User"), and Chai AI ("we", "us", or "our"), concerning your access to and use of the Chai AI website, mobile applications, APIs, and any other media form, media channel, or mobile website related, linked, or otherwise connected thereto (collectively, the "Services"). By accessing, registering for, or utilizing the Chai AI platform, you explicitly acknowledge that you have read, understood, and agreed to be bound by all of these Terms and Conditions. If you do not agree with all of these Terms, then you are expressly prohibited from using the Services and must discontinue use immediately.

1. Acceptance of Terms and Age Requirements

By creating an account or otherwise interacting with the Chai AI platform, you represent and warrant that you possess the legal capacity to enter into this Agreement. The Chai AI Services, given their unrestrictive and creative roleplaying capabilities, are strictly intended for users who are at least eighteen (18) years of age or the age of majority in their respective jurisdiction. We do not knowingly market to or solicit information from anyone under the age of 18. If we discover that a user is under the required age limit, we reserve the right to immediately terminate the account and purge all associated data without prior notice.

2. User Accounts and Security Responsibilities

To fully experience the 25 million AI characters available on Chai AI, you may be required to register an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are entirely responsible for maintaining the strict confidentiality of your account password and login credentials. You agree to notify Chai AI immediately of any unauthorized use of your account or any other breach of security. We will not be liable for any loss, damage, or unauthorized data disclosure arising from your failure to comply with these security obligations. We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or infringing on third-party trademarks.

3. Acceptable Use and Platform Conduct

Chai AI champions creative freedom, but this freedom is not absolute. As a user of the Services, you agree not to utilize the platform for any unlawful, harmful, or abusive purposes. Specifically, you agree that you will not:

• Systematically retrieve data or other content from the Services to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us (e.g., scraping).
• Circumvent, disable, or otherwise interfere with security-related features of the Services, including features that prevent or restrict the use or copying of any Content.
• Attempt to reverse engineer, decompile, or disassemble any of the software, neural networks, or machine learning models comprising or in any way making up a part of the Chai AI Services.
• Upload or transmit viruses, Trojan horses, malware, or other material that interferes with any party’s uninterrupted use and enjoyment of the platform or modifies, impairs, or alters the performance of the Services.
• Use the AI platform to generate, distribute, or promote content that constitutes child sexual abuse material (CSAM), non-consensual intimate imagery, or direct, credible threats of violence against private individuals or public figures.

Violation of these conduct rules may result in the immediate and permanent suspension of your Chai AI account, as well as potential legal action or reporting to law enforcement authorities where mandated by law.

4. Intellectual Property and User-Generated Content

The Chai AI platform allows users to create custom bots, write prompts, define character lore, and engage in generated text conversations (collectively, "User-Generated Content" or "UGC"). You retain all ownership rights to the original prompts and character backgrounds you explicitly create and upload. However, by uploading UGC to the public Chai AI marketplace, you grant us a worldwide, non-exclusive, royalty-free, perpetual, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform that UGC in connection with the operation of the Services and our business operations, including for promotional and model-training purposes.

Regarding the output generated by the AI based on your inputs, Chai AI claims no copyright over the specific text generated in your private chats. You are free to use the generated chat logs for personal entertainment. However, you acknowledge that due to the nature of machine learning, AI output may not be entirely unique across users, and you may not claim exclusive copyright ownership over AI-generated text that happens to mirror output provided to other users.

5. Disclaimer Regarding AI Generated Output

Artificial intelligence is a rapidly evolving, experimental technology. You explicitly understand and agree that the Chai AI language models generate responses based on probabilistic pattern matching, not factual reasoning. Therefore, Chai AI makes no warranties or guarantees regarding the accuracy, truthfulness, reliability, or safety of the content generated by our bots. The AI may occasionally produce output that is inaccurate, offensive, biased, or wholly fictitious. The AI's responses do not represent the views, opinions, or policies of Chai AI or its parent company. You agree to use your own discretion and judgment when interpreting or relying upon any information provided by the AI, and you agree not to rely on the AI for professional medical, legal, financial, or psychological advice.

6. Premium Subscriptions, Billing, and Cancellation

Chai AI operates on a freemium model, offering both basic access and premium subscription tiers (e.g., Chai Premium, Ultra). If you choose to purchase a premium subscription, you agree to pay all applicable fees and taxes in accordance with the billing terms presented at the time of purchase. Subscriptions are billed on a recurring basis (e.g., monthly or annually) and will automatically renew unless canceled prior to the end of the current billing cycle.

You may cancel your subscription at any time through your account settings or the respective app store (Apple App Store or Google Play Store) from which you initiated the purchase. Upon cancellation, you will retain access to premium features until the end of your current paid billing period. All subscription payments are non-refundable. We do not provide refunds or credits for any partially used subscription periods, nor for situations where your account is terminated due to a violation of these Terms.

7. Privacy Policy Integration

We deeply care about data privacy and security. By agreeing to these Terms and Conditions, you also explicitly agree to our Privacy Policy, which is incorporated into these Terms by this reference. 8. Limitation of Liability and Disclaimer of Warranties

THE CHAI AI SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE SITE’S CONTENT OR THE CONTENT OF ANY WEBSITES LINKED TO THIS SITE.

IN NO EVENT WILL CHAI AI, OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US DURING THE SIX (6) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING.

9. Governing Law and Dispute Resolution

These Terms and your use of the Chai AI platform are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any legal action of whatever nature brought by either you or us shall be commenced or prosecuted in the state and federal courts located in Delaware, and the parties hereby consent to, and waive all defenses of lack of personal jurisdiction and forum non conveniens with respect to venue and jurisdiction in such state and federal courts.

Arbitration Clause: To expedite resolution and control the cost of any dispute, controversy, or claim related to these Terms, you agree that any such dispute shall be finally and exclusively resolved by binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify. You explicitly waive the right to participate in a class action lawsuit or class-wide arbitration against Chai AI.

10. Modifications to These Terms

We reserve the right, in our sole and absolute discretion, to make changes or modifications to these Terms and Conditions at any time and for any reason. We will alert you about any changes by updating the "Last Updated" date of these Terms, and you waive any right to receive specific notice of each such change. It is your responsibility to periodically review these Terms to stay informed of updates. Your continued use of the Chai AI platform after the date such revised Terms are posted will constitute your strict acceptance of the modifications.
